Terms of sale

In these terms, "U-gr8" means Ribaira Consulting – U-gr8 and "the client" means the professional or business that buys. Feminine forms include all genders.

1. Scope. These terms govern the sale of the programme From execution to authority (four one-to-one sessions of one hour), of extra sessions and of U-gr8's digital products. The client accepts them by ticking the box at checkout. The version in force on the date of the order applies; earlier versions are kept and provided on request. These terms prevail over the offer page.

2. Business clients only. U-gr8's services are only for businesses and registered self-employed people, micro-entrepreneurs included. The client buys for the purposes of her business, certifies that she acts as a taxable person for VAT, gives her company ID or VAT number at checkout and warrants that this information is accurate. A business under a small-business VAT exemption, such as France's franchise en base, remains a taxable person: the exemption removes the duty to charge VAT, not the status. U-gr8 provides no services to consumers; consumer protection rules, including the right of withdrawal, do not apply.

3. Price and VAT. €480 for the four sessions; €120 per extra session. Paid members of a partner community: 20% off with the community code, one code per order, not combinable, valid until its expiry date. Net prices in euros. No Swiss VAT charged, art. 10 para. 2 let. a Swiss VAT Act: U-gr8's worldwide turnover is below the CHF 100,000 threshold. The place of supply is the client's location (art. 8 para. 1 Swiss VAT Act). For a client established in the European Union, reverse charge applies under art. 196 of Council Directive 2006/112/EC: the client alone declares and pays any VAT due in her country.

4. Payment and invoice. Payment in full at order, by card, through Stripe. The invoice is sent automatically to the email address given.

5. Booking. After payment, the client receives a personal booking link. Paid sessions are booked and held within three months of payment. This period is extended by the same length if no slot is open for booking for more than 7 consecutive days, or if U-gr8 cancels a session. Sessions not held by the end of the period lapse, without refund. Any booking beyond the sessions paid for is cancelled. Sessions last one hour, by video call, with no audio or video recording; a session the client starts late ends at the scheduled time.

6. Moving a session. Free of charge up to 24 hours before it starts, from the calendar. Cancelling a booking from the calendar is a move, not a cancellation under clause 7. A move less than 24 hours before, or a no-show, counts as a session held. No-show: joining more than 15 minutes after the scheduled time.

7. Cancellation by the client. The client may end the contract at any time, by email to melissa@u-gr8.com, on these terms:

Sessions held, or lapsed under clauses 5 and 6, are not refunded; they pay for the slot booked. Refunds go to the payment method used, within 14 days of the request.

8. Cancellation by U-gr8. If U-gr8 cancels a session, it is rescheduled or refunded at the price paid for that session, as the client chooses, free of charge. If U-gr8 can no longer deliver the programme, sessions not held are refunded at one quarter of the price paid, or in full before the first session, free of charge.

9. Digital products. Digital products sold by U-gr8 (playbooks, templates, kits, tools) are described and priced on their offer page. They are made available on payment, by download or access link. Once made available, they are not taken back or refunded. A faulty or inaccessible file is replaced on request by email. The right of use in clause 12 applies.

10. Personal sessions. Sessions are for the person named at checkout. Transfer to another person requires U-gr8's written consent.

11. Confidentiality and third-party data. Each party keeps confidential what the other entrusts to it, during and after the programme, except public information, a legal obligation, or disclosure to its technical providers bound by confidentiality. The work uses generic descriptions: the client shares no personal data about her own clients and is responsible for any such data she shares regardless.

12. Content and tools. Documents the client produces belong to her. The method, the grid, the Playbook, the printables, the VA Radar & Pipeline and the digital products remain U-gr8's property. The client receives a non-exclusive, non-transferable right to use them for her own business: no resale, no distribution, no use to train others. If she cancels before the first session, this right ends for the tools received under the programme and she deletes them; tools received otherwise, such as the member pack, are not affected. The VA Radar & Pipeline runs on the client's own Claude account; she uses it under her own responsibility, in compliance with data protection law and the terms of the platforms consulted. U-gr8 is not liable for changes, interruptions or pricing of third-party tools.

13. Results. U-gr8 commits to the means, not to a result. The deliverables described for each session are working objectives, not guaranteed results: no rate, client or revenue is guaranteed. The client alone decides her offers, her rates and her client relationships.

14. Liability. Except for intent or gross negligence, U-gr8's liability is limited to the amount the client paid and excludes indirect loss, including loss of revenue or clients.

15. General. Personal data is processed as described below. Communications are by email. If a clause is held invalid, the others remain in force. The French version prevails over the English version.

16. Law and jurisdiction. Swiss law. Exclusive jurisdiction of the courts of Geneva.
